1. OBJECTIVES OF THE DELIBERATIONS

    The goal of KKUB is to substantially and permanently improve customer performance. We put ourselves in their position with the aim of advising them as insightfully, respectfully and responsibly as possible. With this unique emotional competence we support our customers to achieve their goals.

    In addition to consulting services, the promotion of the employees of our customers is a special concern.

    The goal is to foster talent - with leadership potential, integrity, a sharp analytical mind, creativity and the ability to work with people at all levels of an organization.

    This is intended to ensure that projects can be continued and successfully implemented in the respective organization, even after the consulting services have been completed.

     

3. SELFUNDERSTANDING,
        SUSTAINABILITY, ETHICS

    KARL KRONER KG Unternehmensberatung (hereinafter referred to as KKUB) observes applicable laws, regulations, official directives and standards, and follows the suggestions and recommendations of the German Corporate Governance Code.

    The KKUB observes the UN Convention against Corruption UNCAC, which has been ratified by Germany.

    KKUB has committed itself to comply with the "EU Code of Conduct for Interest Representatives and Consultants" in its relations with the EU institutions and their members and officials.

      In this context, KKUB does not use illegal or immoral methods to obtain any information or data for the purpose of providing services.

      In particular, KKUB refrains from conducting discussions with active or formerly active employees, managers, or members of the management or board of directors of a competitor of the client in order to gather or obtain data or information that could be considered a trade secret.

      However, this obligation does not mean that KKUB is not allowed to discuss, question and exchange views on general topics (such as general market trends) with current or former employees, executives, managers or members of the management board, advisory or supervisory boards of a direct or indirect competitor of the client or third parties.

    KKUB is entitled to use all information and data made available to it by third parties, direct or indirect competitors, independent of the project. The prerequisite for this is that there is no obligation of secrecy.

    KKUB does not provide references. Consultants of KKUB are bound to secrecy regarding clients, contact persons and their projects. KKUB observes the "German Communication Code" in its publications and appearances in the sense of representing its interests.

  APPRAISER ACTIVITIES
   Key for the assessment of the circumstances

    Appraiser activities serve the normative, strategic and / or operational management to evaluate individual facts and to prepare, justify or implement decisions.

    Consultants, who take on appraiser activities, see themselves as neutral experts, who assess the commissioned facts in the given objectivity.

    Within the scope of the appraiser activities, all essential aspects of an area of analysis (process, process chain, business unit, company, group) as well as its internal and external environment can be evaluated from a normative, strategic or operational perspective.

    The decision - on the implementation of the facts reported within the scope of the expert opinion - and thus also the solution of the client's problem is the responsibility of the client's managers.

    The appraiser activity is an essential instrument for the identification of problems as well as for the development of solutions for a problem of the client system. The appraiser activity provides the starting point for the development, discussion and argumentative evaluation of concepts or development measures.

  EXPERT ADVICE
    Key to the success of quantitative and quantitative renewal

    Expert consultants have the knowledge and skills they have acquired through their many years of experience in the assessment of framework conditions and the entrepreneurial and organizational design or transformation of individual processes, process chains, business units, companies or group structures.
    Contact persons for the expert consultants are executives in the normative, strategic or operational management of companies who have specific knowledge and skills based on many years of experience and are therefore experts themselves.

    Expert advice assignments can be broken down as follows:

     KK-P2  Managers of the customer (experts) know the
          problem of the analysis area (process chain, division,
          business unit, company or group) and can define the
          information requirements themselves. The customer
          commissions an expert consultant who, based on his
          knowledge and skills, can provide the desired infor-
          mation on the basis of an expert opinion.

     KK-P2  Managers of the customer (experts) are not or
          insufficiently familiar with the problem of the area of
          analysis (process, process chain, division, business
          unit, company or group) and are unable to define the
          information requirements themselves. In this case,
          the expert consultant receives the assignment:

      > support the customer in identifying his information
         needs and to provide the desired information on
         the basis of expert opinions and
      > to submit and evaluate suggestions for improvement
         for the sustainable development of the field of
         analysis.

  SISTEMIC ADVICE
   Systemic consultants observers of social systems.

    From the perspective of a systemic consultant, a business unit, a company, a group, an industry or an economic area is viewed as a collection of social systems. Social systems that build networks according to interests, confirm each other via these networks, develop and propagate constructions of reality and motivate to take action or promote or irritate an opinion.

    Systemic counseling does not consist in working out a solution to a problem in the client system. The aim of the consultation is to develop, evaluate and implement measures that contribute to a change, weakening or strengthening of the prevailing constructions of reality.

    The KKUB takes on orders for systemic advice on the basis of fee contracts. The KKUB differentiates between the following alternatives, depending on the goals and orientation of the systemic advice:

     KK-P2  Systemic advice with regard to the internal environment
          of the client system in the context of organizational
          and corporate development tasks.

     KK-P2  Systemic advice with regard to the external environment
          of the client system in terms of Governmental Relations
          & Affairs (hereinafter referred to as GR).
